GENERAL TERMS AND CONDITIONS OF PARTICIPATION
IN EVENTS ORGANIZED BY BRAIN GAMES CLUB
These General Terms and Conditions of Participation (the "Terms") govern the procedures and principles of participation in private intellectual and entertainment events organized by Brain Games Club S.R.L., a legal entity registered and operating in accordance with the laws of the Republic of Moldova(the "Club"). The Club is the owner of the rights to the corresponding trademark.
The Club seeks to build a community of people united by an interest in intellectual games, a culture of dialogue, and the aesthetics of communication. Participation in the Club's events is not an unconditional right of any person, but rather a privilege granted at the Club's sole discretion.
These Terms constitute a contract of adhesion defining the rights and obligations of both the Club and any person participating in its events (the "Participant"). Participation in any Club event constitutes full and unconditional acceptance of these Terms.
1.1. Private nature. All events organized bythe Club are private closed events. Information about events, including announcements and advertising, does not constitute a public offer within the meaning of applicable law. Such information is provided for notification purposes only, is addressed to definite circle of persons for informational purposes, and does not constitute an invitation to participate without prior coordination with the Club. An invitation to participate is sent to a limited circle of persons whose participation has been previously approvedby the Club through personal confirmation of attendance at a specific event by the administrator.
1.2. Admission to participate. The Club has the right, at its sole discretion, to permit or refuse admission to an event to any person without giving reasons. Refusal may be expressed at any stage, from the review of an application to the start of the event. The Club also has the right to refuse participation in the event of non-compliance with the stated dress code (by default, business-casual unless otherwise specified in the event announcement).
1.3. Registration rules. A Participant's registration is deemed complete after: (a) the administrator has preliminarily confirmed the person's admission to participate in the specific event, and (b) the participation fee has been received in the Club's account, unless expressly stated otherwise by the Club. Payment of the participation fee without prior coordination with the Club's administrator is not permitted.
2.1 The Club has the exclusive right to make all decisions regarding the organization and conduct of its events. Guided by its internal regulations, the Club independently and at its own discretion determines:
Content and format. The format, methodology, and rules of the games, including but not limited to: the format of questions (oral, written, with the use of media materials), evaluation criteria, structure, start time, and duration of the event.
Composition of Participants. The Club has the right to independently form teams and distribute participants among teams, as well as add new players to existing teams in order to ensure abalanced and engaging gameplay process.
Commercial terms. The participation fee for events is set in Moldovan lei (MDL), unless otherwise stated. Any refreshments, including alcoholic beverages and snacks, provided at events are offered free of charge as a compliment from the Club and are not part of the participation fee.
Venue, date, and time of events. The Club reserves the right to make changes to these parameters, notifying Participants within a reasonable time.
2.2. Assumption of obligations. The Club bears only those obligations toward Participants that are expressly stated in these Terms. The Club is willing to consider constructive suggestions; however, it does not accept complaints or demands relating to its exclusive prerogatives.
2.3 Game discipline. Teams are required to comply with the time limits for rounds and the submission of answers. Answers submitted after the signal indicating the end of discussion may not be accepted. During rounds, the use of phones, smart watches, and other devices is prohibited. If any such devices are found on a team's table, its answer may be disallowed.
2.4. Appeals jury. For the consideration of appeals, a deposit shall be paid and a temporary appeals committee (the "AppealsJury") shall be formed, consisting of three team captains selected at random. The captains make decisions by secret ballot. Appeals are considered before the final results of the game are announced. If an appeal is successful, the deposit is refunded and the disputed points are awarded. The decision of the Appeals Jury is final.
2.5. Intellectual property. All questions, tasks, and game materials are the intellectual property of the Club and may not be reproduced, published, or used without written permission.
2.6. Different participation categories. The Club reserves the right to invite certain participants (for example, partners and sponsored persons) on special terms.
2.7. Finality of game decisions. Upon completion of the game and announcement of the winners, the results of the relevant game are final and may not be reviewed.
2.9. Publicity of results. The results of games may be published by the Club in public sources, including the team nameand final scores.
2.10. Use of the Club's name. Participants may use the Club's name, logo, and other symbols only with the Club's priorw ritten consent.
2.11. Health and safety. The Participant issolely responsible for their health condition and assumes all risks associated with participation in the event.
2.12. Refunds. In the event of a Participant's voluntary refusal to participate, the payment shall be refunded by the Club within 10 (ten) banking days, provided that notice of the refusalis given no later than 2 days before the start time of the event.
3.1. Participant obligations. Participants undertake to observe standards of proper conduct and respectful communicationwith other guests, the Club's staff, and the venue's staff, maintaining the friendly intellectual atmosphere of the event appropriate to the Club's status.
The followingare strictly prohibited:
Being in a state of alcohol intoxication or any other intoxication that interferes with participation;
Interfering in any manner withthe conduct of the event, the work of the host, the scoring committee, or otherstaff of the organizers or the venue;
Using obscene language orinsulting expressions in any form.
3.2. Sanctions. Violation of ethical standards may result in the Participant's immediate removal from the event without any compensation and a subsequent refusal of admission to participatein the Club's events. In the event of a serious violation of the rules or conduct incompatible with the Club's standards, the Club has the right to disqualify the team in full.
4.1. Personal belongings. The Club is not responsible for the safe keeping of Participants' personal belongings.
4.2. Parking. The Club does not provide or guarantee parking spaces for Participants.
4.3. Personal data and media. By participating in the event, the Participant consents to photo and videorecording and to the subsequent use of such materials by the Club for the Club's informational, advertising, and marketing purposes that do not contradict the law, without additional approval and without payment of any remuneration.
4.4. Force majeure. The Club shall be released from liability for the cancellation or postponement of an event due to force majeure circumstances. In the event of postponement or cancellation of an event for reasons attributable to the Club, the amounts paid shall be refunded.
4.5. Limitation of liability for third parties. The Club is not liable for the actions of third parties, including the venue administration, service personnel, and contractors.
5.1. Governing law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Moldova. The version of the Terms in force on the date of the event shall apply.
5.2. Amendments. The Club reserves the right to amend these Terms unilaterally by posting a new version on the Club's official website.
